Biography
Brian M. McCall is a partner in the private equity, mergers and acquisitions, and corporate finance groups. His practice focuses on cross-border mergers and acquisitions and global capital markets transactions. Brian advises on acquisitions of both private and publicly traded companies and on their financing and exit transactions. Routinely, Brian advises issuers on equity and debt offerings, both SEC registered and unregistered. Brian has represented: - Travelex plc in its £440 million leveraged acquisition of the Thomas Cook financial services business and related £1.2 billion securitization sponsored by Barclays Bank. Travelex is owned by its original founder Lloyd Dorfman and the UK private equity investor, 3i Group plc. - Citicorp Venture Capital in its DM 660 million public to private acquisition of Flender AG, the international stationary power transmission business based in Germany and the related senior and mezzanine debt financing accomplished through a Luxembourg holding company structure. In 2003, Brian advised on Flender’s leveraged recapitalization involving a €250 million high yield offering and €50 million mezzanine facility. - AMI Semiconductor, Inc. in its acquisition of the Mixed Signal Division of Alcatel Microelectronics. AMI is a portfolio company of Citigroup Venture Capital Equity Partners and Francisco Partners. - OfficeTiger B.V., a portfolio company of Francisco Partners, in its acquisition of the Devonshire Group Ltd. - Comcast Corporation in its $710 million acquisition of control and later $1.1 billion public merger with Jones Intercable, Inc. - Spectra-Physics AB in its divestiture of its worldwide barcode scanner business to PSC Inc. and on Spectra-Physics AB’s takeover by Thermo Electron. - Lehman Brothers on the $85 million Rule 144A/Regulation S offering of ordinary shares and dual listing on Nasdaq Europe and the London Stock Exchange of IQE plc. - High yield and investment grade debt offerings for companies such as Delco Remy International, Inc., Travelex plc, Crown European Holdings S.A., Flender Holding GmbH, Aberdeen Asset Management and South Jersey Industries. In 1999, after working in Dechert's Philadelphia office since 1996, Brian relocated to London to focus more specifically on international transactions. Brian is a graduate of Yale University (B.A., English language and literature, 1991); University of London, Kings College (M.A., English language and literature before 1525, 1992); and the University of Pennsylvania Law School (J.D., 1997).
